Mr. Maurice Marciano is NonExecutive Chairman of the Board of Guess Inc. since January 28, 2012. He was one of the founders of the Company in 1981. Since that time, he has served in a number of senior executive positions with the Company, including his role as executive Chairman of the Board, from 2007 until January 28, 2012. Between 1999 and 2007, he served as CoChairman of the Board and CoChief Executive Officer, together with his brother, Paul Marciano. However, he continues to serve as nonexecutive Chairman of the Board and to provide consulting services to the Company under the terms of a twoyear consulting agreement entered into in connection with his retirement.
