Mr. Hartnett was a director of Sparton Corporation since September 2008 and Chairman of its Board of Directors from October 2014 to February 2016. He was a director of Crossroads Systems, Inc. from March 2011 through June 2013. He is a past chairman and member of the audit committee, past member of the compensation and nominating and corporate governance committees of Sparton Corporationrationration. Mr. Hartnett had served as chairman of the audit committee at Crossroads and as a member of the compensation and the nominating and corporate governance committees. He is also a former director of both U.S. Robotics Corporation and Ingenient Technologies, Inc. The Board has concluded that Mr. Hartnett should be nominated for reelection as a director of Garmin because his 20 years of experience as a Certified Public Accountant with Grant Thornton LLP and his experience as the chairman of the audit committee of two other public companies gives him strong qualifications to be a member of the Audit Committee of the Board since 2013.
