Mr. Gong Shao Lin is NonExecutive Independent Director of the Company. He graduated from the Central Institute of Finance and Economics, the Peoples Republic of China with a Bachelors degree in Finance, and obtained his Doctors degree in Economics from the Southwestern University of Finance and Economics, the PRC in June 1999. Mr. Gong has an extensive experience in the securities and finance sectors. He was the board chairman of China Merchants Securities Co., Ltd. during the period from November 2001 to May 2017. He retired from this position in May 2017 and thereafter served as senior advisor of China Merchants Securities Co., Ltd till May 2018. He was the VicePresident of China Merchants Bank during the period from 1997 to 2001. Prior to this, he had held a number of senior positions in the Peoples Bank of China between 1982 and 1997. Mr. Gong has not entered into any service agreement with the Company but has entered into an appointment letter with the Company pursuant to the latest Listing Rules, the terms of which, among others, include a term which continues until terminated by either party by serving to the other party not less than three months written notice but subject to retirement by rotation at the general meetings of the Company in accordance with the byelaws of the Company. Mr. Gongs annual fixed remuneration is approximately HK276, 000 with other allowances, subject to adjustment by the Board and approval by the shareholders of the Company. The remuneration of Mr. Gong was determined with reference to the prevailing market conditions and his duties and responsibilities with the Company. During the last three years, Mr. Gong was a director of China Merchants Securities Co., Ltd., a company listed on The Stock Exchange of Hong Kong Limited and Shanghai Stock Exchange. He was also a chief supervisor of China Merger and Acquisition Association during the period from September 2012 to November 2016. since 2018.
