Ms. Nancy J. Karch is NonExecutive Independent Chairman of the Board of Kate Spade Co., effective May 14, 2013. Effective following our 2013 Annual Meeting of Shareholders on May 14, 2013, Ms. Karch became the nonexecutive Chairman of the Board of the Company. Ms. Karch was a Director of McKinsey Co., an independent consulting firm, from 1988 until her retirement in 2000. She had served in various executive capacities at McKinsey since 1974. Ms. Karch is a Director Emeritus of McKinsey Co., and serves as a director of KimberlyClark, a consumer products company MasterCard Inc., a payment systems brand and processor and Genworth Financial, Inc., a company that provides various insurance and investmentrelated products and services in the United States and internationally. She also serves as Chair of the board of Northern Westchester Hospital as well as a board member of Northwell Health, both notforprofit organizations since 2013.
