Mr. Lawrence A. Jacobs is Executive Vice President and Global General Counsel and Secretary of the Company. Mr. Jacobs was our Companys Executive Vice President and Global General Counsel since September 2016 and our Companys Secretary since November 2016. Prior to joining our Company, Mr. Jacobs served as executive vice president and general counsel for Time, Inc. from November 2013 to September 2016, as well as senior executive vice president and group general counsel for News Corporation from January 2005 to June 2011. Additionally, he served as general counsel of Empire State Development, New York States chief economic development agency from April 2013 to November 2013 and as a consultant at East Wind Advisors from June 2011 to April 2013. Mr. Jacobs began his legal career at Squadron Ellenoff since 2016.

Elected by the shareholders, the Las Vegas' board of directors comprises two types of representatives: Las Vegas inside directors who are chosen from within the company, and outside directors, selected externally and held independent of Las. The board's role is to monitor Las Vegas' management team and ensure that shareholders' interests are well served. Las Vegas' inside directors are responsible for reviewing and approving budgets prepared by upper management to implement core corporate initiatives and projects. On the other hand, Las Vegas' outside directors are responsible for providing unbiased perspectives on the board's policies.
