Mr. Steven L. Gerard is Independent Director of the Company. He was a Director of the Company since July 2014. He served as the chief executive officer of CBIZ, Inc., a provider of integrated business services and products, from October 2000 until his retirement in March 2016, and continues to serve as the chairman of its board of directors, a position he has held since October 2002. Mr. Gerard was chairman and chief executive officer of Great Point Capital, Inc., a provider of operational and advisory services from 1997 to October 2000. From 1991 to 1997, he was chairman and chief executive officer of Triangle Wire Cable, Inc. and its successor, Ocean View Capital, Inc. Mr. Gerards prior experience includes 16 years with Citibank, N.A. in various senior corporate finance and banking positions. Further, Mr. Gerard served seven years with the American Stock Exchange, where he last served as vice president of the securities division. Mr. Gerard also serves on the board of directors of Lennar Corporationrationration, a home builder, and had served on the board of directors of Joy Global, Inc., a manufacturer and servicer of mining equipment. Mr. Gerards extensive executive experience and service as a director of other public companies led the Board to conclude that he would be a valuable member of our Board of Directors. since 2014.

Elected by the shareholders, the Las Vegas' board of directors comprises two types of representatives: Las Vegas inside directors who are chosen from within the company, and outside directors, selected externally and held independent of Las. The board's role is to monitor Las Vegas' management team and ensure that shareholders' interests are well served.
