Mr. David C. Anderson is no longer Independent Chairman of the Board of the Company effective May 17, 2018. He currently serves as Chairman of the Board. Previously he served as Chairman of Compensation Committee and had served as a member of the Nominating and Corporationrationrate Governance Committee and Audit Committee. Mr. Anderson also currently serves on the Board of Directors of Lucas Group, a privatelyheld executive search firm. Since 2003, Mr. Anderson was the Chief Executive Officer of Anderson Partners, a firm he formed which provides seniorlevel executive search and related management consulting services to corporations and private equity, VC and professional services firms. Prior to this, from 1992 to 2003, he served in various management positions for Heidrick Struggles, Inc., also an executive search firm, including President and Chief Executive Officer of executive search, and President and Chief Operating Officer for the company as a whole. At Heidrick Struggles, he participated in the development of the strategy to merge the domestic operations with the international business unit leading to a successful initial public offering. Mr. Anderson also served as a member of the Board of Directors of Heidrick Struggles from 1996 through 1999, continuing as a director after the public offering through 2002. since 2014.
