Mr. Peter Terium is Chairman of the Executive Board, Chief Executive Officer at RWE AG since July 1, 2012. He was appointed Deputy Chairman of the Executive Board at RWE AG as of September 1, 2011 and Chairman of the Executive Board at the Company as of July 1, 2012. He is responsible for Group Public Affairs Energy Politics, Group Legal Board Affairs, Group Audit and Corporationrationrate Responsibility Group Environmental Protection, Corporationrationrate Development Strategy. Between 1981 and 1989 he was trained to become chartered accountant at Nederlands Institut voor Register accountants, Amsterdam. Between 1981 and 1983 he attended the Rijksoverheids Academie, Utrecht and was a trainee tax auditor in the tax department of the Dutch Ministry of Finance. From 1984 to 1985 he was an independent tax auditor working for the Dutch Ministry of Finance. Between 1985 and 1990 he was Audit Supervisor at KPMG, Eindhoven. Between 1990 and 200 he occupied various positions at SchmalbachLubeca AG, most recently as Vice President Finance and Accounting, PET Containers Europe and Asia. From 2003 till 2005, he was Head of Group Controlling at RWE AG, Essen. Then, from 2004 to 2005 he served as Member of the Executive Board at RWE Umwelt AG, Viersen. In the years 2005 to 2008 he was Chief Executive Officer of RWE Trading GmbH, Essen and until November 2007 Chief Financial Officer and in dual role Member of the Group Business Committee up to its termination. Between April 2008 and March 2009 Mr. Terium was CEO at RWE Supply Trading GmbH, Essen. From April 2009 to October 2009, he served as Program Manager Essent and since October 2009 he was CEO of Essent N.V. He is Chairman of the Supervisory Board at RWE IT GmbH, Supply Trading GmbH and RWE Dea AG and supervisory board member at NET4GAS s.r.o. and N.V. KEMA . since 2012.

Elected by the shareholders, the RWE AG's board of directors comprises two types of representatives: RWE AG inside directors who are chosen from within the company, and outside directors, selected externally and held independent of RWE.
