Mr. Peter H. Rothschild is an Independent Director of Wendys Company. Mr. Rothschild was a director of the Company since May 2010. He served as a director of Wendys International from March 2006 until its merger with the Company in September 2008. Since December 2018, Mr. Rothschild was a Partner and head of the General Industries and Special Situations group at East Wind Advisors, LLC and its affiliated brokerdealer, East Wind Securities, LLC. Mr. Rothschild was the Managing Member of Daroth Capital LLC, a financial services company, since its founding in 2001, and he served as President and CEO of its whollyowned subsidiary, Daroth Capital Advisors LLC, a securities brokerdealer, from 2002 to 2018 until its merger with East Wind Advisors, LLC. Prior to founding Daroth Capital LLC, Mr. Rothschild was a Managing Director and cohead of the Leveraged Finance and Industrial Finance groups at Dresdner Kleinwort Wasserstein and its predecessor Wasserstein Perella, an investment bank, where he worked from 1996 to 2001. From 1990 to 1996, Mr. Rothschild was a Senior Managing Director and head of the Natural Resources Group at Bear, Stearns Co. Inc. and one of the founders of the firms Leveraged Finance and Financial Buyer Coverage groups. From 1984 to 1990, he was a Managing Director at Drexel Burnham Lambert. Mr. Rothschild previously served as a director of Deerfield Capital Corporationration, predecessor to CIFC Corporationration, from December 2004 to April 2011 and as Interim Chairman of Deerfield Capital Corporationrations board of directors from April 2007 to April 2011. Mr. Rothschild is also actively involved with various civic organizations and serves as a member of The Mount Sinai Medical Center Samuel Bronfman Department of Medicine advisory board, the Tufts University School of Engineering board of advisors and the Tufts University Entrepreneurship Center advisory board. since 2010.

Elected by the shareholders, the Wendys' board of directors comprises two types of representatives: Wendys inside directors who are chosen from within the company, and outside directors, selected externally and held independent of Wendys.
