Mr. Michael R. Klein serves as Independent Chairman of the Board of CoStar Group, Inc. He was the Chairman of our Board of Directors since 1987. Mr. Klein also currently serves as Chairman of the board of directors and Chief Executive Officer of The Sunlight Foundation, a nonprofit public education organization which he founded in 2005, Chairman of Gun Violence Archive, a nonprofit public education organization which he founded in 2014, and as Vice Chairman of the board of directors, Lead Director, Chairman of the Corporationrationrate Governance Nominating Committees, and member of the Audit and Compensation Committees of Tutor Perini Corporationrationration, a publiclyheld construction company. Mr. Klein serves as a director of ThinkFood Group, LLC, a privately held company. He also serves as Chairman of the board of directors of The Shakespeare Theatre Company, as a director and secretary of the American Himalayan Foundation, as a director of the NAACP Legal Defense and Education Fund, and as Chairman of the Board of Trustees of the Aspen Music Festival and School and as a trustee of the Aspen Institutes. Mr. Klein received a B.B.A. and a J.D. from the University of Miami and an L.L.M. from Harvard University. As a result of his service on our Board since the Companys inception, Mr. Klein has extensive knowledge of the commercial real estate, information services and technology industries, as well as the Companys products, services and business strategies. Mr. Klein also brings to the Board extensive experience through his service over the past 30 years on the boards of directors of various publiclyheld companies, as well as several privatelyheld businesses and nonprofit organizations, including in the role of Chairman and Lead Director. since 1987.

CoStar Group Leadership Team
Elected by the shareholders, the CoStar's board of directors comprises two types of representatives: CoStar inside directors who are chosen from within the company, and outside directors, selected externally and held independent of CoStar. The board's role is to monitor CoStar's management team and ensure that shareholders' interests are well served.
