Mr. Greggory W. Branning is Chief Financial Officer Senior Vice President Corporationrationrate Secretary of Myers Industries Inc. On August 31 2012 the Company entered into a severance agreement with Mr. Branning. The full text of the severance agreement is attached as Exhibit 10.1 to the Current Report on Form 8K filed with the SEC on September 4 2012. The severance agreement provides that if Mr. Branning is terminated by the Company other than for cause or disability or if Mr. Branning terminates for good reason then he is entitled to payment of one times his annual base salary as in effect on the termination date in a lump sum within thirty days after such termination an amount equal to the sum of one times his annual bonus at the highest rate in effect during the prior three year period plus any accrued annual bonus earned in the prior year but unpaid at the termination date within thirty days after such termination the cost of premiums for continued medical coverage for one year continuation for one year of longterm disability protection continuation for one year of any life insurance protection being provided to Mr. Branning prior to termination and outplacement services for one year. In addition the Severance Agreement provides that upon Mr. Brannings termination by the Company other than for cause or if he terminates for good reason all of Mr. Brannings outstanding stock options restricted stock awards and stock unit grants will become vested. since 2012.
