Mr. Robert Kelley is an Independent Director of OGE Energy Corporationration since December 31 1996. He is the President of Kellco Investments Inc. a private investment company. Prior to May 1 2001 he served as Chairman of the Board of Noble Affiliates Inc. an independent energy company with exploration and production operations in the United States and international operations in China Ecuador Equatorial Guinea and the U.K. sector of the North Sea. Prior to October 2 2000 he also served as President and Chief Executive Officer of Noble Affiliates Inc. and of its three subsidiaries Samedan Oil Corporation Noble Gas Marketing Inc. and Noble Trading Inc. Mr. Kelley also serves as a member of the Board of Directors and audit committee of Cabot Oil and Gas Corporationrationration. Mr. Kelley also served as a director of Smith International Inc. from 2005 until 2010. Mr. Kelley is a certified public accountant and his prior experiences include working for a public accounting firm and teaching accounting at two universities. Mr. Kelley was a director of the Company and OGE since December 1996 and is chairman of the Audit Committee and a member of the Executive Committee of the Board. since 1996.
