Mr. Kenneth Stanley Stickland is no longer Independent Chairman of the Board of Whitecap Resources Inc with effective January 2019. He served as Director of the Company until April 2019. Mr. Stickland is an independent businessman. Prior to February 1, 2014, he was employed for 13 years by TransAlta Corporationrationration, one of Canada largest nonregulated power generation and wholesale marketing companies. At TransAlta he held the position of Chief Business Development Officer and prior to that was the Chief Legal Officer. Mr. Stickland was a member of various professional associations and has served as a director of several publicly listed companies, associations and notforprofit organizations. Prior to TransAlta, Mr. Stickland was a partner with the Calgarybased law firm of Burnet, Duckworth Palmer LLP and has over 30 years of experience in the area of commercial law with a specific focus on energyrelated matters. Mr. Stickland holds a B.Comm and LL.B. from the University of British Columbia. Mr. Stickland is also a director of Trinidad Drilling Ltd., a public oilfield services company. since 2019.

Elected by the shareholders, the Whitecap Resources' board of directors comprises two types of representatives: Whitecap Resources inside directors who are chosen from within the company, and outside directors, selected externally and held independent of Whitecap.
